End-User License Agreement

1. Scope

This End-User License Agreement ("Agreement") is between Digital Alpha Technologies, Inc. ("Digital Alpha," "Quiver," "we," "us," or "our") and the individual or entity using the Quiver application ("you," "User"). Quiver is a fund administration platform for general partners (GPs) and limited partners (LPs), covering subscriptions and closes, capital calls, per-class fund accounting, carry waterfalls, distributions, K-1 tracking, portfolio reporting, and an LP portal. Quiver also offers optional integrations with third-party services, including QuickBooks Online, described in Section 6.

2. Acceptance

By accessing or using Quiver, you accept the terms of this Agreement. If you do not agree, do not access or use Quiver.

3. License Grant

Subject to your compliance with this Agreement, Digital Alpha grants you a limited, non-exclusive, non-transferable, revocable license to access and use Quiver solely for your own internal fund administration, accounting, and investor-reporting purposes, in accordance with any applicable subscription plan.

4. Authorized Use

You must be an authorized representative of a fund, general partner, limited partner, or related organization with the authority to use Quiver on behalf of that organization. Quiver is intended for business use by such organizations and their authorized personnel, not for personal consumer use.

5. Fees

Use of Quiver is subject to the fees described in your applicable subscription plan. Fees are billed as described at the time of subscription and are non-refundable except as required by law or as otherwise stated in your order.

6. Third-Party Integrations

Quiver may offer optional integrations with third-party services to extend its functionality. Where you choose to enable one of these integrations, your use of it is also subject to the applicable third party's own terms, and you are responsible for your own compliance with those terms. Digital Alpha's use of data obtained through any such integration is limited to providing the corresponding features within Quiver, as described in our Privacy Policy.

6.1 QuickBooks Online

If you connect a QuickBooks Online account, Quiver uses Intuit's APIs to read and/or write accounting data (such as transactions, invoices, bills, vendors, and related financial records) in order to keep your fund's books synchronized between Quiver and QuickBooks Online.

  • Your use of this integration is also subject to Intuit's applicable API Terms of Use and QuickBooks Online terms of service.
  • You authorize Digital Alpha to access your connected QuickBooks Online account through Intuit's API solely to provide and maintain this accounting-sync feature.
  • You may disconnect the QuickBooks Online integration at any time from within Quiver; doing so will stop further data access but will not automatically delete data already synced, which is handled per our Privacy Policy and internal retention practices.
  • Digital Alpha does not use your QuickBooks Online data for advertising or marketing purposes.

7. Your Data and Privacy

Our collection, use, and handling of personal and financial information, including data obtained through any third-party integration, is described in our Privacy Policy, which is incorporated into this Agreement by reference.

8. Restrictions

You will not, and will not permit any third party to:

  • reverse engineer, decompile, or attempt to derive the source code of Quiver, except to the extent such restriction is prohibited by applicable law;
  • sublicense, resell, rent, lease, or distribute access to Quiver to any third party outside your organization;
  • attempt to access data, accounts, or funds belonging to other Quiver customers;
  • use Quiver, or any connected third-party integration, in a manner that violates applicable law or the applicable third party's own terms of service;
  • use Quiver to store or transmit any content that infringes the rights of, or causes harm to, any third party.

9. Intellectual Property

Quiver, including its software, design, and documentation, is owned by Digital Alpha Technologies, Inc. or its licensors. No rights are granted to you other than the limited license expressly set out in Section 3. All trademarks, logos, and brand names used in connection with Quiver are the property of their respective owners.

10. Support and Updates

We may provide maintenance, updates, and support for Quiver at our discretion. We may modify, update, or discontinue features of Quiver from time to time, including features related to any third-party integration, and will provide reasonable notice of material changes where practicable.

11. Disclaimer of Warranties

Quiver is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Quiver, or any third-party integration, will be uninterrupted, error-free, or fully compatible with every configuration of a connected third-party account.

12. Limitation of Liability

To the maximum extent permitted by law, Digital Alpha Technologies, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from or related to your use of Quiver, including any third-party integration, even if advised of the possibility of such damages. Our total liability for any claim arising under this Agreement will not exceed the amount you paid for Quiver in the twelve (12) months preceding the claim.

13. Term and Termination

This Agreement remains in effect until terminated. You may stop using Quiver, and disconnect any third-party integration, at any time. We may suspend or terminate your access to Quiver if you breach this Agreement or fail to pay applicable fees. Upon termination, we will cease accessing any connected third-party account; any retained data will continue to be handled in accordance with our Privacy Policy.

14. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, unless otherwise required by applicable law.

15. Changes to This Agreement

We may update this Agreement from time to time. We will post the updated Agreement with a revised effective date, and, where required by law, provide additional notice of material changes.
